GIVEAWAY - STARTUP BOSTON WEEK 2024 

 

Terms and Conditions

 

1. ELIGIBILITY:

 

To be considered eligible for this promotion (the “Giveaway”), you must be a registered attendee of Startup Boston Week 2024. Touchstone Strategic Law, PLLC (“Touchstone” or “We”) reserves the right to ask for proof of registration and reserves the right, in its sole discretion, to decide whether you are eligible. Our decisions regarding eligibility are final and binding.

 

To participate you just submit a request via the web form on https://www.touchstonestrategiclaw.com/giveaway, which may include, among other things, your name and contact information. By submitting the web form you are providing express permission for us to contact you regarding this giveaway.

 

Entries are subject to disqualification at any time in Touchstone’s sole discretion.

 

2. THE GIVEAWAY

 

Successful entries for the Giveaway shall receive free legal services for incorporating one (1) business entity. Those legal services may include:

 

  • A consultation to discuss what kind of business entity is appropriate and in what jurisdiction

  • Filing of the required paperwork to incorporate one (1) business entity

  • Subscription to a registered agent service, if needed

  • A consultation about further legal needs for the business entity

 

The Giveaway does not include, among other things:

 

  • Fees charged by the state of incorporation

  • Fees charged by the registered agent service

  • Legal advice about anything other than creation of the business entity

  • Legal work beyond what is 

 

3. GIVEAWAY ACCEPTANCE AND TAX LIABILITY:

 

Receipt of the Giveaway is non-transferable. A recipient may waive their right to receive the Giveaway. No substitutions may be made by the recipient. 

All federal, state, local or other tax liabilities arising from this Giveaway are the sole responsibility of each recipient, respectively. 

 

We may withhold taxes and/or other amounts from any Giveaway, prize, or award as it, in its sole discretion, may determine to be required by law. We may file with the Internal Revenue Service (e.g., on Form 1099-MISC) and/or any other government agency a return identifying any payment of money and/or property to recipient as Touchstone, in its sole discretion, determines to be required by law. 

 

4. GENERAL RELEASE/LIMITATION OF LIABILITY:

 

By participating in the Giveaway, each entrant releases and holds Touchsone, its directors, officers, employees, representatives, and agents harmless from and against any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Giveaway or with the acceptance, possession, use of or defect in any Giveaway (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). Touchstone is not responsible for any incorrect or inaccurate information, whether caused by technical or human error or otherwise which may occur in the processing of entries in this Giveaway or in the running of this Giveaway. We will not be responsible for typographical, printing or other errors in these or other materials related to the Giveaway.

 

If for any reason, the Giveaway is not capable of running as planned, including but not limited to by reason of fraud, computer virus, worms, bugs, tampering, unauthorized intervention, technical limitations or failures, human error, mistake or any other cause that in the sole opinion of Touchstone could compromise, undermine, corrupt or otherwise affect the security, integrity, fairness, administration, or proper conduct of this Giveaway, we reserve the right, in our sole discretion, to cancel, terminate, modify or suspend the Giveaway at any time and without notice.

 

To the extent that the preceding release is determined by a tribunal of competent jurisdiction to be invalid, unenforceable or void for any reason, each entrant agrees that, to the fullest extent permitted by law (i) any and all disputes, claims, and causes of action arising out of or in connection with the Giveaway, or any awards awarded shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred by such entrant, but in no event attorney's fees and no greater than $1,000; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, incidental, punitive or consequential damages.

5. CONSTRUCTION, WAIVER AND DISPUTE RESOLUTION:

The construction, validity, interpretation and enforceability of these Terms and Conditions, and all issues and questions relating thereto, along with the rights and obligations of all entrants, shall be governed by, and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules or provisions. The venue of any action to enforce the provisions of this Agreement, or any document executed in connection with this Agreement, shall be in a court of competent jurisdiction in Massachusetts. Entrant agrees that they will not contest the choice of law and venue provisions in this Paragraph.

 

In the event that any provision is determined to be invalid or otherwise unenforceable, such determination shall not affect the validity or enforceability of any other provision, and these Terms and Conditions shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

 

Any specific waiver of any obligation hereunder by Touchstone does not constitute a general waiver of that obligation nor of any other obligation of Entrant.
